How to obtain a New York Good Standing
In New York, a Certificate of Good Standing for entities registered with the Department of State are called “Certificates under Seal.” This is the same document that other states call a Certificate of Good Standing or Certificate of Existence. The New York Certificate under Seal contains the same information as the good standing certificates from other states.
It is an official, one-page document that certifies a legal entity is registered in New York State and complies with state requirements. It is issued by the New York Secretary of State’s office. The certificate is an official state document that is granted to any business entity - foreign or domestic, nonprofit or for-profit - that has duly registered or formed within New York State. The Certificate of Good Standing typically bears the seal of the Secretary of State. In cases where another state agency was the issuing authority, the Certificate will bear that agency’s official seal. A Certificate of Good Standing may be valid for up to three months in most cases.
When Do You Need A Certificate Of Good Standing?
A Certificate of Good Standing may be needed if you're involved in a merger or acquisition, or if you're buying a company outright, or selling yours. Some industries may require the Good Standing certificate to obtain proper licensing or permits.
When applying for a business loan or line of credit, lending institutions may require it to process a loan application or issue a line of credit.
A corporation or LLC qualified in New York may also operate in other states, provided it meets the requirements as a “Foreign Corporation” in a state other than its home state. The entity may be required to submit a Standing Certificate (also known as a “Certificate of Existence”) when applying for the Authority to do business outside its home state. Requirements vary by state, but guidelines in a majority of states include a Good Standing Certificate from the home state.
