How to obtain a Alabama Good Standing
It's possible you may need to prove that you are registered to do business in the state of Alabama. This may be for legal or business reasons, for example. To prove this and that your business is in compliance with Alabama state requirements, you will require a document called a Certificate of Existence.
The Certificate of Good Existence can be obtained from the state of Alabama. You'll need to submit a specific records order to the SOS (Secretary of State) office. The document you receive will feature an authorized signature from the Secretary of State and an imprint of Alabama's state seal.
In some cases, you may need to prove that you have a company that was dissolved or suspended. In this case, you'll make the same request. Likewise, if you need information on a business that is not your own, you may make the same request as well.
Finally, it is possible to request any filings on record for a given entity. For example, you can ask for a certified collection of a company's articles of formation, out-of-state registration, amendments, conversion, and more.
Alabama has an online business search that can be used to research all such records. The state website also has additional information about making records requests, including fee information and forms. If you need your Certificate of Existence soon — for example, within 2-4 business hours — we are happy to help expedite your request at SunDoc Filings.
When Do You Need A Certificate Of Existence?
Alabama businesses must obtain Certificate of Existence for a variety of reasons. This certification will be an integral part of the legal documentation for your business.
First of all, your company might need a Certificate of Existence if you plan to apply for a business loan (or other line of credit). If you plan to sell your own company or buy a new one outright, the certification is also required. In addition, mergers and acquisitions, unique licensing requirements, and specific tax matters may require the certificate.
Keep in mind that you cannot be out of compliance with the tax process in the state of Alabama, but you can owe taxes and still be in good standing.
Lastly, the Certificate of Existence is often required when you plan to conduct business in another state. If this is your goal, SunDoc would be happy to assist you with what is called foreign qualification.
Don’t forget to check expiration dates and other full documentation requirements. In certain states, your certification status must be no more than 60 days old or no more than 30 days old.
Certificate Of Existence Or Certificate Of Good Standing?
The Certificate of Good Standing in other jurisdictions may also be referred to as a Certificate of Status or of Existence. In Alabama, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority.
How To Get Your Certificate Of Existence
Some states offer a way to order a Certificate of Existence electronically, in which case you can only order by mail or personally through the state office
Requests presented in person can generally be processed by the second business day, while mailed-in requests take 5-15 business days. Alabama does offer a Rush service for Good Standing requests.
Next Steps
Other companies often mail in their forms, but SunDoc offers expedited routine filings. We go to the Secretary of State office numerous times a day to receive documents or hand-deliver them. As with all company filings you require, SunDoc is here to handle your request for a Certificate of Existence.
