How to obtain a Missouri Good Standing
Many businesses in the state of Missouri must prove formally that they are registered to conduct business legally within the state. In order to prove this, a document called a Certificate of Good Standing is necessary.
You can obtain a Certificate of Good Standing from the state of Missouri Secretary of State by submitting a specific records order. The Certificate of Good Standing will prove that you can legally conduct business in the state of Missouri and that you are in compliance with all state of Missouri requirements. Once you receive the document, it should have an authorized Secretary of State signature on it, and it should bear an imprint of Missouri's state seal.
You may obtain certified information, such as a Certificate of Good Standing, from the state even if the company you are requesting it for is not your own. All filings that are on record in the state can be obtained for any given entity. This includes documents such as registrations (for out-of-state companies), conversion, articles of formation, amendments, etc.
In some instances, companies may require a Good Standing Certificate when they need to prove that their business had already been dissolved or suspended.
To obtain the forms necessary for making a records request, or to learn more about fees and conducting records research, go to the state of Missouri’s website. SunDoc is available to assist you with your Good Standing request. We can even expedite your request for the same business day!
When Do You Need A Certificate Of Good Standing?
You may need a Certificate of Good Standing if you're involved in a merger or acquisition, or if you're buying a company outright, or selling yours. The Good Standing certification will form part of the legal documentation of the entity.
Generally speaking, tax matters are a common reason to require a Certificate of Good Standing (if you are in compliance with the state's tax process, you will be considered in good standing with the state even if you still owe taxes). Other reasons for requiring the certification include certain licensing requirements, applying for a line of credit, or applying for a business loan.
Another frequent need for a Certificate of Good Standing is to register to do business in another state (see how SunDoc Filings can help you with foreign qualification). You will have to determine your full documentation requirements, including expirations. Some states for example require certified status to be less than 30 days old, while some allow 60 days.
Certificate Of Good Standing Or Certificate Of Status?
The Certificate of Good Standing in other jurisdictions may also be referred to as a Certificate of Status or of Existence. In Missouri, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority.
How To Get Your Good Standing Certificate
There are different ways to order a Certificate of Good Standing. Some states allow electronic orders of Certificates of Good Standing.
Mailed in requests for Certificates of Good Standing take approximately 5 to 15 business days. On the other hand, in person requests may be able to be processed by the second business day. Good standing requests can be rush ordered in the state of Missouri.
